These Terms of Service ("Terms") constitute a legally binding agreement between you and Shared Aura ("Company," "we," "us," or "our") governing your access to and use of the Shared Aura platform, website, mobile applications, and related services (collectively, the "Service").
By accessing or using the Service, creating an account, or clicking "I Agree" or any equivalent button at registration, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, you must not access or use the Service.
You must be at least 18 years of age to use the Service. By registering, you represent and warrant that you are 18 years of age or older. We do not knowingly permit persons under 18 to create accounts. If we discover that a user is under 18, we will immediately terminate the account and delete associated data in accordance with applicable law including the Children's Online Privacy Protection Act (COPPA).
You must have the legal capacity to enter into a binding contract. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
The Service is intended for users in jurisdictions where it is lawful to access. You are responsible for compliance with local laws in your jurisdiction.
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at legal@sharedaura.com of any unauthorized access to your account.
You are solely responsible for all activity that occurs under your account. You may not share your account with or transfer it to any other person. You agree to provide accurate, current, and complete information during registration and to keep it updated.
We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used in a manner inconsistent with the spirit and purpose of the Service.
You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You specifically agree not to:
You retain ownership of content you submit to the Service ("User Content"), including your soul profile data, photos, posts, messages, and journal entries. By submitting User Content, you grant Shared Aura a non-exclusive, royalty-free, worldwide, sublicensable license to use, reproduce, process, adapt, modify, publish, transmit, and display your User Content for the purpose of operating and improving the Service.
This license does not extend to selling your User Content to third parties or using it for advertising without your explicit consent. Your soul profile data is used solely for computing compatibility scores and displaying your profile to other users.
You represent and warrant that you own or have the rights to all User Content you submit, and that your User Content does not violate any third party's intellectual property or privacy rights.
We reserve the right to remove any User Content that violates these Terms, is reported by other users, or that we determine in our sole discretion is harmful, offensive, or otherwise inappropriate.
The Service offers both free (Seeker) and paid subscription tiers (Initiate, Adept, Sovereign). Paid subscriptions are billed in advance on a monthly or annual basis.
Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except where required by applicable law.
Refunds: If you cancel within 48 hours of your initial subscription purchase and have not used the paid features, you may request a refund at support@sharedaura.com. All other refund requests are evaluated on a case-by-case basis.
Price changes: We reserve the right to modify subscription pricing with 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Coupons and promotions: Promotional offers may not be combined and are subject to additional terms communicated at the time of the promotion.
The Service, including the Soul Engine algorithm, all software, design elements, visual works, text, graphics, logos, and trademarks, is owned by or licensed to Shared Aura and is protected by copyright, trademark, and other intellectual property laws.
The 17-tradition Soul Engine that generates your soul report is proprietary technology. The outputs of this engine (your soul report, compatibility scores, aura readings) are provided for your personal use only and may not be reproduced, distributed, or commercialized without our written permission.
You may not reproduce, distribute, modify, create derivative works from, or reverse engineer any part of the Service.
Our collection and use of personal information in connection with the Service is described in our Privacy Policy. By using the Service, you consent to our data practices as described therein.
The spiritual and metaphysical information you provide during onboarding (your traditions, belief levels, soul profile, chakra data, and related information) is used exclusively for computing compatibility matches and generating your soul report. It is not sold to advertisers.
Advertising displayed on the Service is targeted by tradition interest category (e.g., "astrology enthusiast") rather than by individual data points. Individual spiritual data is never shared with advertisers.
We are committed to maintaining a safe community. If you encounter behavior that violates these Terms, please use the in-platform report feature or contact safety@sharedaura.com.
We take reports of predatory behavior, harassment, threats of violence, and exploitation of minors extremely seriously. We maintain audit logs of user activity and cooperate fully with law enforcement investigations. We may report certain content to law enforcement or child protection agencies without prior notice to the user in question.
We reserve the right to preserve user data in response to lawful legal process including preservation orders, subpoenas, and court orders, notwithstanding any account deletion request.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy of any compatibility score, soul report, or astrological calculation.
We are not responsible for the conduct of users on or off the Service. You assume all risk arising from your interactions with other users, including meeting in person. Please exercise appropriate caution in any offline interactions with people you meet through the Service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHARED AURA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you.
You agree to defend, indemnify, and hold harmless Shared Aura and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of and access to the Service; (b) your violation of any provision of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any claim that your User Content caused damage to a third party.
Informal resolution: Before initiating any formal legal proceeding, you agree to contact us at legal@sharedaura.com and attempt to resolve the dispute informally. We will make a good-faith effort to resolve your concern within 30 days.
Binding arbitration: If informal resolution fails, any dispute arising from or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. You waive the right to a jury trial and the right to participate in a class action lawsuit.
Exception: Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.
Class action waiver: YOU AND SHARED AURA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
If this arbitration clause is found to be unenforceable, the parties agree to resolve disputes exclusively in the state or federal courts located in Los Angeles County, California.
You may delete your account at any time through the platform settings. Upon account deletion, your publicly visible profile will be removed immediately. Certain data will be retained for a period in accordance with our Privacy Policy and applicable legal obligations.
We may suspend or terminate your account with or without notice if we determine you have violated these Terms, if your continued use poses a risk to other users or the integrity of the Service, or if required to do so by law.
Upon termination, all rights and licenses granted to you hereunder immediately terminate. Sections 5, 7, 10, 11, 12, 13, and 15 survive termination.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
We may modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and, for significant changes, by sending notice to the email address associated with your account. Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms.
If you do not agree to the modified Terms, you must stop using the Service and may delete your account.
